Welcome to Harwex. These Terms & Conditions (“Terms”) govern your use of harwex.co and your engagement with Harwex for digital marketing, advertising, SEO, website development, tracking, consultation, and related services.

By using our website, requesting our services, approving a proposal, making a payment, or instructing Harwex to begin work, you agree to these Terms.

1. About Harwex

Harwex (“Harwex,” “we,” “us,” or “our”) provides digital services primarily for local businesses, including:

  • Facebook & Instagram Ads
  • Google Ads
  • Search Engine Optimization (SEO)
  • Website Design & Development
  • Conversion Tracking
  • Digital Marketing Consultation
  • Related digital services agreed upon with a client

The exact services provided to a client will depend on the agreed scope of work, proposal, package, or written communication.

2. Client Responsibilities

Clients are responsible for providing accurate information, required content, access, approvals, and materials necessary to complete the agreed work.

Clients must ensure that any content, images, trademarks, business information, customer data, or other materials they provide to Harwex are legally permitted to be used.

Delays in providing required information, access, approvals, or materials may affect project timelines.

3. Service Scope

Services are provided according to the specific scope agreed upon before work begins.

Requests outside the agreed scope may require additional fees or a separate agreement.

Harwex will communicate any significant additional work or cost before proceeding whenever reasonably possible.

4. Advertising Services

For Google Ads, Facebook Ads, Instagram Ads, and other paid advertising services:

  • Advertising budgets are separate from Harwex service or management fees unless specifically stated otherwise.
  • Clients are responsible for paying advertising platforms directly unless another arrangement has been agreed upon in writing.
  • Advertising results depend on factors including market demand, competition, budget, location, keywords, offers, website performance, platform policies, and other factors outside Harwex’s control.
  • Harwex does not guarantee a specific number of leads, calls, sales, customers, revenue, or return on advertising spend.
  • Advertising platforms may change their policies, systems, pricing, targeting options, approval processes, or algorithms without notice.

Harwex will make reasonable professional efforts to manage and optimize campaigns according to the agreed service.

5. SEO Services

SEO results can take time and may vary depending on competition, website condition, industry, location, search behavior, search engine changes, and other factors.

Harwex does not guarantee specific search rankings, traffic levels, leads, calls, or revenue from SEO services.

6. Website Development

For website projects:

  • The agreed project scope determines the included pages, features, revisions, and functionality.
  • Additional features or significant changes may require additional fees.
  • Clients are responsible for providing required content, images, branding materials, and business information unless content creation is included in the agreed service.
  • Third-party plugins, themes, hosting, domains, software, and external services may have separate costs or licensing requirements.
  • Harwex is not responsible for problems caused by third-party services, hosting providers, plugins, software updates, or unauthorized changes made by others.

7. Payments

Payment terms will be communicated before work begins or as stated in the applicable proposal, quotation, invoice, or agreement.

Unless otherwise agreed:

  • Required payments must be completed before the relevant work, campaign launch, publication, or service period begins.
  • Advertising spend is separate from Harwex service fees.
  • Completed work or reserved service time may not be refundable simply because a client changes their mind after work has started.
  • Additional work outside the agreed scope may require additional payment.

Specific payment terms provided in a project agreement will take priority over these general Terms.

8. Refunds and Cancellations

Refund eligibility depends on the nature and stage of the service.

Because digital marketing management, campaign setup, research, strategy, development, and other professional services may involve work performed before delivery, payments may be non-refundable once the relevant work has started.

If a client wishes to cancel an ongoing service, they should notify Harwex as early as reasonably possible. Any outstanding amount for completed work or an active service period remains payable.

9. Third-Party Platforms

Harwex may use or work with third-party platforms such as Google, Meta, WordPress, hosting providers, analytics services, communication platforms, payment providers, and other technology services.

Harwex does not control these third-party platforms and is not responsible for outages, policy changes, account suspensions, technical issues, pricing changes, data practices, or other actions taken by third-party providers.

10. Account Access and Ownership

When providing services, clients may provide Harwex with access to advertising accounts, websites, analytics platforms, business profiles, or other systems.

Clients should maintain ownership of their business accounts and assets whenever applicable.

Harwex will use provided access only for authorized work related to the agreed services.

Clients should not share passwords or sensitive credentials unnecessarily and should use appropriate access permissions whenever available.

11. Intellectual Property

Unless otherwise agreed in writing, final custom work created specifically for a client and fully paid for may be used by that client for its intended business purposes.

Third-party assets, licensed software, stock images, plugins, themes, fonts, tools, and other materials remain subject to their respective licenses and ownership rights.

Harwex may retain ownership of its pre-existing templates, systems, processes, methods, tools, know-how, and reusable components unless otherwise agreed in writing.

12. Portfolio and Marketing Use

Unless a client requests otherwise in writing, Harwex may display completed work, business names, website screenshots, campaign results, or other non-confidential project information in its portfolio, website, presentations, or marketing materials.

Confidential information will not knowingly be published as portfolio material without appropriate permission.

13. No Guaranteed Results

Harwex provides professional services and makes reasonable efforts to achieve the objectives agreed upon with each client.

However, business performance and marketing results depend on many factors outside our control.

Therefore, Harwex does not guarantee specific sales, revenue, rankings, leads, calls, customers, advertising results, or business growth unless a specific written agreement expressly states otherwise.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Harwex will not be responsible for indirect, incidental, special, consequential, or business losses arising from the use of our website or services, including loss of revenue, profits, customers, data, or business opportunities.

Nothing in these Terms is intended to exclude or limit liability where such limitation is prohibited by applicable law.

15. Website Use

You agree not to:

  • Use our website for unlawful purposes
  • Attempt to gain unauthorized access to our systems
  • Interfere with website security or functionality
  • Copy or misuse our website content, branding, or materials without permission
  • Use our services or website in a way that violates applicable laws or third-party rights

16. Confidentiality

Harwex will make reasonable efforts to keep confidential business and project information provided by clients.

Clients are also expected to keep confidential any non-public information, strategies, pricing, systems, or materials provided by Harwex that are reasonably understood to be confidential.

17. Changes to Services and Terms

Harwex may update its services, pricing, website content, or these Terms from time to time.

Updated Terms will be posted on this page with a revised “Last Updated” date.

For existing projects, the specific proposal, quotation, invoice, or written agreement may govern where it contains terms that differ from these general Terms.

18. Governing Law

These Terms will be interpreted in accordance with applicable laws and regulations relevant to Harwex and the applicable service relationship.

Where a separate written agreement with a client specifies governing law or dispute-resolution procedures, that agreement will apply to the extent permitted by law.
